Welcome to the website and enterprise portal of IDSPay Software Private Limited, a company registered under the Companies Act, 2013, India, having its registered office at Mithanpura, Muzaffarpur, Bihar, India – 842002 (hereinafter referred to as “IDSPay”, “we”, “us”, “Company”, or “1st Party”).

The user accessing this Website and the services made available on the Site, or via Applications, Tools, Plugins, Extensions, and APIs published by the Company, is subject to these Terms of Service (these “Terms” or “Agreement”). The Individual or Company that the Individual is representing, intending to use or using our Services, whether in an individual capacity or representing a registered legal entity, is hereinafter referred to as “Customer”, “User”, “you”, “they”, or “2nd Party”. Collectively, the Company and the User shall be referred to as “Parties” and each a “Party”.

Consent Requirement

By using any of our Services, you agree to be bound by, and use our Services in compliance with, these Terms of Service in their entirety. IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE, WE ENCOURAGE YOU NOT TO PROCEED WITH THE USE OF OUR SERVICES.

Scope of Services

IDSPay is a diversified technology company providing two core verticals of B2B services:

API & Verification Infrastructure

Software and services for paperless, hassle-free documentation. This includes, but is not limited to, the generation, facilitation, management, and distribution of electronic signatures, KYC validation, credit bureau fetching, and verification of documents based on user identity.

V2

Software Development & ERP Solutions

IDSPay provides end-to-end custom software development, IT consulting, and Enterprise Resource Planning (ERP) solutions. This includes SaaS (Software as a Service) deployments, legacy system modernization, and dedicated IT maintenance.

Delivery timelines, feature scopes, and operational Service Level Agreements (SLAs) for these solutions will be governed by supplementary Master Service Agreements (MSAs) signed alongside these Terms.

Ownership of Content & Data

IDSPay does not claim ownership rights pertaining to any documents, files, or enterprise data submitted by you to its platform for using its Services (“Content”). These Terms do not grant us any licenses or rights to your Content except for the limited rights needed for us to provide the Services to you.

Limited rights include, but are not limited to, copying, storing, extracting data, verifying, and sharing Content for purposes of processing, machine-learning R&D (anonymized), and system debugging, in complete accordance with IDSPay’s Privacy Policy and applicable laws.

Data Roles Architecture

ERP Data Processing Guidelines

For users of our ERP and Custom Software solutions, you act as the "Data Controller" and IDSPay acts solely as the "Data Processor."

We process your proprietary business data solely to operate the software and will not utilize your ERP ledger, employee data, or customer lists for external commercial gain.

User Matrix: Rights & Responsibilities

User Rights

  • The User can subscribe to all or part of the Services, as offered by the Company.
  • The User can discontinue/cancel their subscription anytime. However, the Company is not liable to refund any fees paid towards the active billing cycle.
  • The User has complete ownership rights over the Content they submit.

User Responsibilities

  • The User takes full responsibility for the Content submitted, ensuring it does not violate Copyright, Trademark, or licensing laws.
  • The User assures that the Content submitted (or code uploaded to our ERP environments) is free from viruses, trojans, malware, and malicious scripts.
  • The User must keep their access credentials safe. The User is fully responsible for all activities that occur under their account.
  • ! Prohibited Actions: The User will not use our Services to upload unlawful content, harm third parties, transmit unsolicited advertising ("spam"), disrupt the networks connected to the Services, or violate any applicable laws.

Company Operations Matrix

Company Rights

  • Right to discontinue or limit free services at any time.
  • Right to auto-renew subscriptions unless cancelled by the User.
  • Right to forcefully terminate sessions or block accounts if suspicious or malicious activity is detected.
  • Right to publish the User/Organization’s Logo as a client reference for marketing and case studies, unless explicitly opted-out in writing.

Company Responsibilities

  • Maintain the highest possible Service uptime and secure the infrastructure.
  • Perform periodic maintenance and communicate scheduled downtimes in advance.
  • Maintain the privacy of User Content as outlined in the Privacy Policy.
  • Provide proper technical documentation and API support.

Intellectual Property & Liability Guardrails

The User acknowledges that all rights, title, and interests in the Site, APIs, ERP architecture, Software Source Code, and Services are solely owned by IDSPay Software Private Limited or its licensors.

Custom Software IP Protocol Unless a specific "Intellectual Property Transfer Agreement" is signed during a custom software development contract, all base architectural code, libraries, and frameworks developed by IDSPay remain the exclusive property of IDSPay. The User is granted a perpetual license to use the compiled software.

License Restrictions: The User agrees not to (i) copy, modify, or create derivative works of our products, or (ii) decompile, disassemble, decipher, reverse engineer, or attempt to derive Source Code or algorithms from the Company’s platform.

Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

UNDER NO CIRCUMSTANCES WILL THE TOTAL LIABILITY OF IDSPAY, ITS SUPPLIERS, OR LICENSORS ARISING OUT OF YOUR USE OF THE SERVICES (INCLUDING WARRANTY CLAIMS OR SOFTWARE BUGS) EXCEED THE AMOUNTS THAT YOU HAVE PAID TO US FOR YOUR USE OF THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Indemnity

You will indemnify and hold us, our suppliers, affiliates, officers, and employees harmless from any costs, damages, expenses, and liability caused by your use of the Services, your violation of these Terms, or your violation of any third-party rights.

Miscellaneous Provisions

Force Majeure

Neither Party shall be liable for failures resulting from causes beyond reasonable control (e.g., acts of God, riots, governmental regulations, utility failures).

Digital India Alliance

We are not directly associated with the Digital India campaign. The use of the Digital India logo (if any) represents our alignment with its vision. It does not imply endorsement by DeitY/Govt. of India.

Entire Agreement

This Agreement constitutes the entire agreement between the User and the Company, superseding all prior oral or written agreements.

Legal Venue

Jurisdiction & Governing Law

This Agreement shall be governed by the laws of India. All disputes, claims, and actions will be subject exclusively to the jurisdiction of the competent courts at Patna, Bihar, India, irrespective of the User's location. The User waives any right to challenge the exclusivity of jurisdiction of Bihar courts.
